Due diligence is where the claims in a listing's teaser and the seller's own story get checked against reality. It's usually the longest stage of a deal, and the one most likely to surface a reason to walk away, renegotiate, or move forward with confidence. Here's what it actually covers.

Financial due diligence

  • Audited or reviewed financial statements for the last 3 years, not just the most recent one
  • Revenue and customer concentration — how much comes from the top 1–3 customers
  • Gross and net margins, and whether they've been trending up, flat, or down
  • Outstanding debts, loans and any personal guarantees tied to the business
  • Working capital requirements and cash flow patterns, not just profit on paper

Legal due diligence

  • Business registration, licenses and permits — current and in the business's own name
  • Ownership of key assets, IP and any trademarks the business relies on
  • Existing contracts with customers, suppliers and landlords, and whether they transfer on a sale
  • Any pending or past litigation, disputes or regulatory action
  • Employment agreements and any key-person dependencies

Tax and compliance due diligence

  • GST filings and registration status
  • Income tax returns matching the financials presented
  • Any outstanding tax notices, assessments or disputes
  • Statutory compliance — PF, ESI and other applicable registrations, if the business has employees

Operational due diligence

  • How dependent day-to-day operations are on the founder personally
  • Key supplier relationships and whether they're contractual or informal
  • Systems, processes and documentation a new owner would actually inherit
  • Team structure — who stays, who's critical, and whether they know a sale is happening
